Terms of Service
The terms that apply when you use the SemperID website, console and API.
Effective
Agreement
These terms are an agreement between you and Semper Technologies Ltd, the company that owns and operates SemperID. By creating an account or using the API, you accept them on behalf of yourself and the organisation you represent, and you confirm you are authorised to do so.
Your account
You must give accurate information and keep it up to date. You are responsible for everything done under your account and your workspace, for the people you invite to it and for keeping sign-in details, two-factor devices and recovery codes secure.
Test keys are available once you register. Live keys require an approved business verification (KYB), live access for your workspace and two-factor sign-in on the account that creates them.
API keys
API secrets are shown once. Keep them on your servers and out of browsers, mobile apps, repositories and logs. Rotate or revoke a key immediately if you suspect it has been exposed. You are responsible for requests made with your keys until they are revoked.
Acceptable use
You may use SemperID only for lawful identity and business verification connected to your own products and customers. You must not:
- Submit data about a person without a lawful basis and a clear purpose.
- Resell, republish or redistribute results, or use them to build a database or service that competes with SemperID.
- Probe, overload or interfere with the service, exceed rate limits deliberately, or attempt to bypass access controls.
- Use the service to discriminate unlawfully, harass anyone or commit fraud.
You must also follow our KYC Rules and Data Protection rules, which form part of these terms.
Prices and payment
Checks are paid from a prepaid wallet, funded by bank transfer to your workspace’s virtual account. Each resolved call is charged at the published rate, or at the rate agreed for your workspace and shown in the console. A match, a mismatch and no record are resolved calls. Provider failures and timeouts are not billed.
Every charge is recorded in your wallet ledger, and you can export usage and per-request billing at any time.
Results
Results come from the identity and registry sources each check queries. We return them as received, and their accuracy depends on those sources. A result is one input to your own decision: you remain responsible for your onboarding, lending and risk decisions and for how you treat your customers.
Data protection
For verification requests you are the data controller and we act as your processor. Our Data Protection rules set out the obligations of both parties, and our Privacy Policy explains how we handle the personal data of account holders and website visitors.
Suspension and ending the agreement
We may suspend a key, a workspace or an account if we reasonably believe it is being misused, puts the service or other customers at risk, or must be suspended to meet a legal requirement. Where we can, we tell you first and explain how to resolve it.
You can stop using SemperID at any time and permanently delete your account or workspace from the console. These terms end when your account is deleted, except for the parts that by their nature continue.
Liability
We provide the service with reasonable skill and care. Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue or data, arising from these terms. Nothing in these terms limits liability that cannot be limited under Nigerian law.
Changes and governing law
We may update these terms. We give account holders notice of material changes in the console or by email before they take effect, and continued use after that date means you accept them.
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute arising from them.
